Terms of Service
Last updated October 21, 2026
Draft, pending lawyer review. Written in plain language by Hudson Automation. If anything here conflicts with the signed service agreement, the signed agreement wins.
1. Who we are
Hudson Automation is run by Daihan Hudson ("we", "us"). We set up and maintain business automations and build and look after websites for small businesses, working remotely with clients anywhere in the US. Contact: daihanhudson@gmail.com.
2. These terms and the service agreement
These terms cover use of this website and any order or card payment made through it. Every client also signs our written client service agreement before we start work. These terms summarize that agreement; if they ever differ, the signed service agreement wins. By ticking the box at checkout and paying by card, you accept these terms and agree to sign the service agreement for what you ordered.
3. What we offer and prices
Our packages and plans, what each includes and their prices are listed on our homepage on the day you order: the Automation package, the Automation + AI Voice package, Website Basic, Standard and Premium, and the Website Checkup, Fix-Up and Fix-Up Plus (with monthly care, or as a one-time payment with 30 days of support after the fix). Prices are in US dollars.
4. Paying
- Pay up front: your first payment is the setup fee plus the first month of upkeep (or the one-time price), then upkeep is billed monthly.
- $0 down: no setup fee today; you pay your upkeep plus the setup fee × 1.10 ÷ 12 (rounded up to the nearest $5) each month for 12 months, then only the upkeep. The plan has a 12-month minimum. You can pay off the rest anytime with no penalty, and the extra 10% is waived for the months not yet paid.
- Payments are processed by Stripe. We pay the card processing fees; no card fee is added to your price. If a payment fails, you have 7 days to fix it with no late fee, after which we may pause the service until you are caught up. Restoring it is free.
- The Checkup and the one-time Fix-Up options are paid up front only.
5. Delivery
We deliver within 14 days from the day we receive your first payment, as long as you give us the access we need (such as logins) promptly. If we are late, you may cancel in writing and we refund everything you have paid, in full. Two rounds of changes are included; further work is $50 per hour.
6. What the monthly upkeep covers
Upkeep covers support, updates and keeping the service running. For websites it includes hosting and small content updates: 2 a month on Basic (within 3 business days), 5 on Standard (within 2 business days) and 10 on Premium (by the next business day). Fix-Up care includes 2 (Fix-Up, within 2 business days) or 5 (Fix-Up Plus, next business day) small updates a month. Unused updates don’t carry over. New pages, new features and redesigns are quoted separately. Outside tools your automation relies on (such as a texting or booking app) are billed to you by that company; we tell you the cost before setup. Your domain name (about $10–$20 a year) is registered in your name and paid by you.
7. Who owns what
- Websites we build: until your website is paid off (setup paid up front, all 12 $0-down payments made, or an early payoff), its design, code and build belong to us and you have a non-exclusive license to use it for your business. Once it is paid off, it is yours: we hand over the files or move it to your own hosting. If the license ends before then, the design and code may not be copied, reused or rehosted.
- Automations and the AI Voice Agent: we keep ownership of the code, setups and call flows; you have a non-exclusive license to use them for your own business while your upkeep is paid. You may not resell or share them.
- Fix-Up work on your existing site: your site stays yours, including the fixes and any refreshed design we make to it once paid for.
- Your business content (text, photos, logo) and your domain name always stay yours.
8. Cancelling
Either of us may end the service with written notice; email counts. If we are late, or we cancel before delivery, you get a full refund. If you cancel for your own reasons, you keep what we have delivered and we keep what you have paid. On the $0 down plan, if you cancel in the first 12 months you choose: pay the early-payoff amount and keep the service (for a website, we hand you the site files), or owe nothing more and the service is removed. You do not owe upkeep for the months left.
9. Packages and upgrades
A package price applies while you keep the whole package; if you drop a service, the rest go back to their regular prices from the next billing month. You can upgrade from the Automation package to Automation + AI Voice by paying the $400 setup difference (on $0 down, $40/month extra for 12 months), and your upkeep becomes $349/month.
10. Limits
We take care to build and run everything well, but we can’t promise that outside services (phone carriers, texting platforms, hosting, Google) will never have outages. To the extent the law allows, our total liability for any claim is limited to what you paid us in the 12 months before the claim, and neither of us is liable for indirect or lost-profit damages.
11. Changes and law
We may update these terms; the date above shows the latest version, and changes don’t affect an agreement you’ve already signed. These terms are governed by the laws of the State of California (to be confirmed in lawyer review).
